The Opportunity

We’re looking for a lawyer with 1 to 3 years of experience at a multi-national company or national law firm who is effective at drafting, reviewing, and negotiating a broad range of commercial agreements for Sandvine, globally.

This opportunity is for you if you possess experience with commercial contracts, privacy, and business law.

The Job

  • Draft, review, and negotiate a broad range of commercial agreements, including direct sale agreements for hardware, software, support and maintenance, and professional services, RFPs/RFIs, reseller agreements, non-disclosure agreements, and evaluation agreements;
  • Interface with various groups within Sandvine to understand key IP, commercial principles, and finance requirements and ensure commercial contract terms comply with corporate directives, policies, and procedures;
  • Support the Sales team by drafting confirmation letters, amendments, extensions, adoption agreements, etc.
  • Coordinate legalization/authentication of documents with various consulates;
  • First point of contact for IT projects;
  • Keep abreast of applicable laws, regulations, and industry guidance that impact commercial agreements;
  • Collaborate and partner effectively with the business on issues related to commercial transactions; and
  • Assist with and/or lead Legal department projects as assigned, including efforts to develop, implement and enhance templates and best practice guides and processes that improve transaction velocity without materially increasing risk.

This position would be based in Waterloo, Canada.

What skills you bring

  • An undergraduate degree in law;
  • Member of the Law Society of Ontario and in good standing;
  • 1 to 3 years of experience as a trusted advisor and negotiator of international business transactions preferably in a high-tech sales environment or national law firm;
  • In-depth knowledge of commercial contracts and business law related to hardware, software, SaaS, professional services, and support and maintenance;
  • Strong negotiation and drafting skills;
  • Self-starter with a strong work ethic and the ability to take initiative;
  • Willingness to quickly adapt to change;
  • Must be able to juggle multiple priorities and tasks in a fast paced environment;
  • High degree of accuracy and follow-through in completing work assignments
  • Excellent written and oral communication skills, interpersonal skills, and leadership skills; and
  • Knowledge of information technology and telecommunications industries is a strong plus.
