Director, Legal Counsel

The Opportunity 
We’re looking for an experienced and highly effective Director of Legal to draft, review and negotiate a broad range of commercial agreements for Sandvine, globally.
 
This opportunity is for you if you possess in-depth knowledge of commercial contracts and business law and are highly effective in your ability to negotiate complex commercial transactions.

The Job
  • Draft, review, and negotiate a broad range of commercial agreements, including direct sale agreements for hardware, software, maintenance and consulting services, RFPs/RFIs, reseller and teaming agreements, license/sublicense agreements, and evaluation agreements.
  • Interface with various groups within Sandvine to understand key IP, commercial principles and finance requirements and ensure commercial contract terms comply with corporate directives, policies and procedures;
  • Keep abreast of applicable laws, regulations and industry guidance that impact commercial agreements
  • Collaborate and partner effectively with the business, including advising executives and developing business practices and training for sales professionals on issues related to commercial licensing and service transactions;
  • Assist with and/or lead Legal department projects as assigned, including efforts to develop, implement and enhance templates, best practice guides  and processes that improve transaction velocity without material increases in risk.
 
What skills you bring
  • An undergraduate degree in law
  • Member of the Law Society of Upper Canada and in good standing
  • Minimum of 7 years of experience as a trusted advisor and negotiator of complex business transactions preferably in a high-tech sales environment
  • In-depth knowledge of commercial contracts and business law related to hardware/software, SaaS, IT consulting and software maintenance
  • Knowledge of IFRS revenue recognition and basic accounting principles
  • Strong negotiation and drafting skills
  • Demonstrated capability in creating and negotiating complex commercial transactions in addition to typical sales agreements
  • A practical and proactive problem-solver who possesses strong business acumen and is confident, mature and calm in high stress situations
  • Must be able to juggle multiple priorities and tasks in a fast paced environment;
  • Comfortable and confident in dealing directly with all levels of management and field personnel
  • Excellent written and oral communication skills, interpersonal skills, and leadership skills
  • Knowledge of information technology and telecommunications, industries is a strong plus
